End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Shadu Labs ("Company," "we," "us," or "our") governing your use of any applications, software, services, and tools provided by Shadu Labs (collectively, the "Services").

By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree, do not use the Services.

1. License Grant

Subject to your compliance with this Agreement, Shadu Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

2. Restrictions

You agree not to:

• Copy, modify, distribute, sell, or lease any part of the Services;
• Reverse engineer or attempt to extract the source code of the Services;
• Use the Services for any unlawful purpose or in violation of any applicable laws;
• Attempt to gain unauthorized access to the Services or related systems;
• Use the Services to transmit malware, viruses, or other harmful code;
• Remove or alter any proprietary notices or labels on the Services.

3. Intellectual Property

All rights, title, and interest in and to the Services, including all associated intellectual property rights, remain with Shadu Labs. This Agreement does not grant you any rights to use the Company's trademarks, logos, or brand features.

4. User Accounts

If the Services require account creation, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

5. Third-Party Services

The Services may integrate with or connect to third-party services (such as Intuit QuickBooks). Your use of third-party services is governed by their respective terms and policies. Shadu Labs is not responsible for third-party services.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHADU LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

8. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease.

9. Changes to This Agreement

We reserve the right to modify this Agreement at any time. We will notify users of material changes by updating the "Last Updated" date. Continued use of the Services after changes constitutes acceptance of the modified Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
